Following the 10th Wiener Unternehmensrechtstag (Vienna Corporate Law Conference), DSC Partner Christoph Diregger analyzes the relationship between syndicate agreements and company law in the "Der Sideletter", edited by Susanne Kalss and Ulrich Torggler, and recently published by Manz Verlag.
Sideletters and other supplementary agreements are as crucial as the articles of association and the company's bylaws. During the 10th Vienna Corporate Law Conference, these forms of ancillary agreements were discussed, variations of sideletters were introduced, key contents were presented, and significant legal questions, such as the interplay with the articles of association or the permissibility of specific content, were debated. Renowned authors from academia and practice present in "Der Sideletter" the syndicate agreement – the most important sideletter in practice regarding shareholder voting before a general meeting – as well as the participation agreement, business combination agreement, foundation supplementary deed, and family constitution.
The Vienna Corporate Law Conference originated from an initiative by B&C Privatstiftung. This event series aims to foster dialogue between academia and practice concerning current issues in corporate and company law.
